Please read these Terms & Conditions ("Terms") carefully before using the services of Eminence Intellitech ("we", "our", or "us"). By contacting us for a project, placing an order, or using our website, you agree to these Terms.

1. Services

Eminence Intellitech provides software development services including but not limited to:

Web application development (Next.js, React)
Mobile application development (React Native)
Desktop application development (Tauri)
Backend API development (Node.js, Rust)
AI integration services
MVP sprints and consulting

The scope, timeline, and cost of each project are defined in a separate project agreement or proposal shared with the client.

2. Project Agreements

All projects commence only after:

Written agreement on scope, timeline, and cost.
Receipt of an agreed advance payment (typically 50% of total project cost).

Work will not begin until these conditions are met.

3. Payment Terms

Payments are due as per the milestones agreed in the project proposal.
All prices are quoted in Indian Rupees (INR) unless otherwise specified.
Payments are processed via Razorpay or bank transfer.
Late payments may result in work being paused.

4. Intellectual Property

Upon full and final payment, the client receives full ownership of the custom code written for their project. We retain the right to showcase the project in our portfolio unless otherwise agreed in writing.

We retain ownership of any proprietary tools, libraries, or frameworks used in delivery that are not specific to your project.

5. Revisions & Change Requests

Minor revisions within the agreed scope are included.
Scope changes or additional features will be quoted separately.
We will notify you in writing before proceeding with any out-of-scope work.

6. Confidentiality

We treat all project details, business information, and client data as confidential. We will not disclose your information to third parties without your consent, except where required by law.

7. Warranties & Disclaimers

We warrant that our work will be delivered with reasonable skill and care. However:

We do not guarantee that software will be free of all bugs.
We are not liable for issues arising from third-party services, hosting providers, or infrastructure outside our control.
Post-launch support terms are defined separately in the project agreement.

8. Limitation of Liability

Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you for the specific project to which the claim relates.

9. Termination

Either party may terminate a project with written notice. In case of termination:

Work completed to date will be invoiced at the agreed hourly or milestone rate.
Any advance paid for uncompleted milestones will be refunded on a pro-rata basis at our discretion.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Chhattisgarh, India.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent revision.
